Terms of Service

These Terms of Service ("Terms") govern your access to and use of websites, products, and services offered by Neo Digital Ventures LLC and its ventures, currently including ClearGrade AI and GeoLine Collective (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If a specific Venture publishes separate terms for its services, those terms apply to that Venture's products, and these master Terms apply where the Venture terms are silent. In the event of conflict, the Venture-specific terms control for that Venture.

1. Acceptance of Terms

By accessing or using the Services, you represent that you are at least 18 years old and legally capable of entering into this agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Neo Digital Ventures operates a portfolio of digital brands, each offering distinct products:

  • ClearGrade AI — Marketing audits, SEO analysis, competitive intelligence, and AI-assisted content generation for small businesses.
  • GeoLine Collective — Topographic map prints and location-based creative goods.

We may modify, suspend, or discontinue any Service at any time, with or without notice, though we will make reasonable efforts to notify active customers of material changes.

3. Account Registration

Certain Services require you to create an account. You are responsible for:

  • Providing accurate and complete information
  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized access

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes or in violation of any applicable law or regulation
  • Infringe on intellectual property, privacy, or other rights of any party
  • Reverse engineer, decompile, or attempt to extract source code from any Service
  • Use automated scripts, scrapers, or bots to access the Services without prior written permission
  • Transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the Services, servers, or networks
  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, threaten, or abuse other users or our staff

5. Payment and Billing

Certain Services are provided on a paid basis. By subscribing or purchasing, you authorize us (and our payment processors) to charge the payment method you provide. Unless stated otherwise:

  • Fees are billed in advance and are non-refundable except as required by law or as expressly stated in a specific offering
  • Subscriptions automatically renew until canceled
  • Prices may change with reasonable notice
  • You are responsible for all applicable taxes

Payment processing is handled by third-party providers (such as Stripe). Your use of those providers is subject to their terms and privacy policies.

6. Intellectual Property

6.1 Our content

All Services, including software, design, text, graphics, logos, and trademarks, are owned by Neo Digital Ventures LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose.

6.2 Your content

You retain ownership of content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, display, and transmit the User Content solely as necessary to provide the Services to you.

6.3 AI-generated deliverables

Where a Service produces AI-generated deliverables (such as audit reports, generated content, or analyses), we transfer the intellectual property rights in those deliverables to you upon full payment, subject to any underlying licenses or third-party rights. You are responsible for reviewing AI-generated output before public use.

7. Third-Party Platforms

Some Services integrate with third-party platforms (such as Meta's Instagram or Facebook, Google services, or other APIs). Your use of those platforms remains subject to their terms. We are not responsible for changes, outages, or policy decisions made by third-party platforms that affect our Services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Audits, analyses, recommendations, and AI-generated content are provided for informational and operational purposes. We do not guarantee specific business outcomes, rankings, conversions, or results.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEO DIGITAL VENTURES LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claim arising out of or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Neo Digital Ventures LLC and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason, with or without notice. You may stop using the Services at any time. Sections that by their nature should survive termination (including ownership, disclaimers, liability, and indemnification) will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Fairfax County, Virginia, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be reflected in the "Last updated" date and, where appropriate, communicated via email or an in-product notice. Continued use of the Services after an update constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms constitute the entire agreement between you and Neo Digital Ventures regarding the Services and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not constitute a waiver.
